Assistant General Counsel, Ethics & Legal Compliance

The Associate General Counsel (''AGC''), Ethics & Legal Compliance, provides practical, business-focused advice to enable business and corporate executives to achieve their business objectives in a manner consistent with relevant laws and SPE policies. The AGC supports all aspects of the company's ethics and legal compliance objectives, including client education and counseling in the areas of anti-bribery, antitrust, economic sanctions compliance, and SPE's code of conduct. The AGC must possess the interpersonal skills to engage successfully with all levels of the organization. The role requires consistent growth and high-quality execution from a process-driven professional who actively prioritizes integrity, business enablement, and continual process improvement.

Core Responsibilities
• Design and manage SPE's adherence to Sony's Compliance Education Protocol (''CEP'') requirements, including communications, training, annual Conflict of Interest Certification process, reporting, periodic assessments, and policy distribution. Create strategies and operationalize processes to ensure SPE's overall compliance with policies and regulations.
Oversee compliance integration for joint ventures and acquisitions.
• Provide legal advice to global business and corporate teams concerning SPE's policies, including SPE's Anti-Bribery Policy and Economic Sanctions Policy, to support business enablement and compliance with US and international laws; conduct merger and acquisition due diligence reviews and oversee third-party risk management under SPE's policies. Provide legal advice regarding and coordinate internal and external investigations.
• Oversee adherence to required training protocol on legal compliance matters, including but not limited to training on applicable Antitrust, Code of Conduct, Anti-Bribery, and Economic Sanctions policies and/or laws. Develop online training programs. Coordinate with regional and HQ compliance offices on development of training materials. Develop and conduct in-person trainings in high-risk territories, or as otherwise needed.
• Provide counsel to global corporate and business teams concerning SPE's Code of Conduct, including but not limited to SPE's policies regarding conflicts of interest, related parties, and gifts and entertainment.
• Assist with anti-trust filings, responses to questionnaires and diligence in connection with deals, mergers and acquisitions, regulatory matters, investigations, and litigation.
• Keep abreast of regional developments and best practices in the area of ethics and legal compliance that could impact SPE's business operations; advise personnel accordingly, based on identified changes and challenges presented.

Job Requirements
• Education: PhD/JD
• Certification/Licenses: Admission to practice law in CA
• Juris Doctor from a top law school
• Strong preference for relevant compliance, white collar, internal investigations, and/or litigation experience,
• Strong preference for in-house compliance program experience at a global company, as well as prior experience at a top law firm and/or federal agencies
• At least 5-7 years of work experience

Required Knowledge, Skills, and Abilities

Knowledge of:
• The Foreign Corrupt Practices Act, as well as a strong understanding of similar foreign laws.
• Best practices in compliance space; including familiarity with DOJ Resource Guide, US Sentencing Guidelines, etc.
• Experience with e-discovery as well as vendor and outside counsel management is also a plus.

Skill in:
• Organizational, program, and process management
• Working comfortably with senior executives on legal issues
• Writing clearly and concisely for both a legal and non-legal audience
• Verbal and interpersonal communications, including a strong presentation skill set for audiences of varying size and experience with legal issues
• Managing multiple projects with competing priorities and tight deadlines
• Selecting and cost-effective management of outside counsel and other relevant service providers
