Job Description
As Commercial Counsel on the Global Media Partnerships subteam, you will work on negotiating, drafting and analyzing a wide variety of film, television, and sports digital distribution licenses for YouTube and YouTube TV as part of Google's growing digital media business. You will focus on negotiating and drafting linear television distribution agreements for YouTube TV, including new subscription products related to YouTube TV. You will also include a wide cross section of YouTube transactional and commercial legal work, including marketing, advertising, and other major media agreements in support of YouTube's Global Media Partnerships team. You will counsel business development executives and lead on agreement interpretational issues, including risk analysis and product advertisement.The US base salary range for this full-time position is $239,000-$337,000 + bonus + equity + benefits. Our salary ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. Resonsibilities:
• Negotiate, draft, and review intellectual property licenses focusing on digital content distribution, with a primary focus on linear television distribution agreements for YouTube TV, YouTube's digital cable product, as well as a wide range of technology, content, and marketing agreements.
• Negotiate, draft, and review distribution agreements in connection with YouTube's major media subscription and content offerings.
• Advise executive management, business clients, as well as finance, product, and other company colleagues on legal issues and risks, agreement structure, negotiation strategy, and company policies and procedures.
• Provide business development, strategy, product management, and marketing teams with legal guidance on compliance with applicable license agreements, United States regulatory matters, and internal approval processes.
• Support contractual analysis and diligence across existing agreements in support of product feature launches and enablement.
Qualifications:
Minimum qualifications:
• JD, LL.B., equivalent degree, or equivalent practical experience.
• 7 years of attorney-level experience in-house, at a law firm or in government.
• Experience with film and television distribution, intellectual property/agreement law, and agreement drafting.
• Admitted to the bar and in good standing or otherwise authorized to practice law (e.g., have registered in-house status) in the state in which the position is located.
Preferred qualifications:
• Experience advising, drafting and negotiating commercial transactions and content license agreements in the broadcast or cable television industry.
• Experience with emerging forms of content distribution, including direct-to-consumer and advertiser supported content distribution.
• Experience in drafting and negotiating complex content license agreements.
• Familiarity with licensing various types of content including film, television, and sports rights.
• Understanding of the United States communications law.
• Ability to escalate and present key issues to management.
