Your New Role
Under guidance of the EVP & Corporate Secretary and other WBD corporate governance and SEC lawyers, support the day-to-day legal needs of the Office of the Corporate Secretary
Your Role Accountabilities
• Manage materials and other aspects for meetings of the Board of Directors and its Committees including:
• Collect materials for distribution to Board from executives and post to online board portal (Diligent Board Books)
• Prepare resolutions, memoranda and other deliverables for review by Corporate Secretary
• Prepare draft Committee reports and minutes for use by Corporate Secretary
• Circulate final meeting minutes and resolutions for signature
• Maintain electronic minute books including summaries of Board and Committee actions
• Track director meeting attendance
• Support WBD responses to external ESG and proxy advisory ratings/surveys; support OCS and ESG shareholder engagement
• Create and maintain a database of rating firms and criteria
• Help gather responses to surveys and support data verification process
• Track WBD's ESG and corporate governance scores
• Create and maintain a tracker for SH engagement on ESG issues
• Oversee Board compensation and matching gift process, including verification of amounts and coordination with other internal WBD functions
• Support updates to ESG site and IR portion of corporate site
• Monitor Corporate Secretary inbox
Qualifications & Experience
• At least 2 years' experience as a paralegal with a law firm or corporate legal department working on corporate governance matters, highly preferred
• Experience handling SEC/public company reporting or environmental, social, governance (ESG) reporting a plus
• College degree highly preferred
• Paralegal certification a plus
• Proficient with standard document creation and business communication software, such as Microsoft Office (Outlook, Word, Excel, PowerPoint), Adobe, Zoom, DocuSign, One Drive, Sharepoint, etc. highly preferred
• Experience with Diligent Board Books a plus
