Job Description

As an Associate Counsel within NBCUniversal's Latin America business, you will support the business on a wide range of legal matters relating to the operation and distribution of NBCUniversal's channels and streaming services in Brazil. You will also be tasked with supporting the development of processes and templates designed to ensure the long-term efficiency of the legal function.

Responsibilities
• Negotiate, draft, and interpret legal documents, including production deals (e.g., coproduction agreements, license agreements and talent agreements), revenue generating deals (e.g., agreements for the sale of advertising and promotion authorizations designed to acquire and retain NBCUniversal services' subscribers), as well as cost deals (e.g., marketing agreements).
• Analyze clearance reports related to NBCUniversal original productions (e.g., approval of the rights bible, analysis of legal summary, verification of contracts and approval of final cut content).
• Review advertising materials to ensure compliance with local laws and regulations, as well as provide legal support to the ad sales team.
• Provide timely legal advice with respect to consumer protection and privacy laws that could affect NBCUniversal's direct-to-consumer businesses in Brazil, as well as manage and advise the business regarding any potential claims raised by consumers.
• Provide timely legal support and advice to the local teams, including the marketing and original productions departments (e.g., approval of social media content, advertising promos and on-air materials).
• Manage and advise the business regarding corporate governance matters, including strategic transactions, governing documentation, intercompany service arrangements, local corporate filings, and powers of attorney.
• Provide timely legal research and assessment on relevant topics related to the NBCUniversal businesses in Brazil and across Latin America.
• Provide timely regulatory legal advice, focusing on creative solutions to overcome obstacles.
• Monitor regulatory bills status related to the media industry in Congress, especially those that affect the NBCUniversal businesses in Brazil.
• Analyze regulatory developments and collaborate with industry groups with the goal of identifying and managing possible impacts to the business.
• Communicate effectively to internal clients to ensure efficient management of open matters, including attending meetings as necessary.
• Serve as a liaison and counsel clients on advice received from outside counsel as well as NBCUniversal's Corporate legal teams.
• Train and counsel the business on applicable policies and best practices, including approval processes, key contractual issues, and risk management.
• Assist in the development of templates and ensure that they are accurately maintained.
• Inspire collaboration across the Legal function by developing and maintaining relationships with relevant counterparts across the globe.
• Provide support on any other matters that the business or Legal function may need.

Qualifications

Basic Qualifications:
• Graduated from accredited law school in Brazil, demonstrated academic achievement, and current Brazilian Bar (OAB) membership in good standing
• Active Brazilian Bar (OAB) member with license to practice law in the State of São Paulo, Brazil
• A minimum of 2 years of media business and legal affairs experience at a law firm and/or media company
• Language: Fluent in Portuguese & English, Spanish is a plus

• Experience in original productions and legal clearances is preferred, as well as in distribution or advertising sale agreements and consumer protection matters
• Experience in ANCINE incentives is preferred
• Works as a team player, continuously collaborating within the Legal function and business partners
• Takes the initiative to find opportunities to add value
• Works independently and to a high professional standard
