VP Legal Affairs, CBS Studios (International Co-Productions and Development)

Vice President/Senior Counsel, International Co-Productions and Development, CBS Studios Legal Affairs

CBS Studios (''CBSS'') is a leading producer of television programming for network, cable and digital media. In addition to English language productions in the United States and Canada, CBSS currently has multiple international, local language series in production and development. These series and development projects are set up or targeted to streamers and broadcasters around the world including in Australia, Finland, France, Germany, Iceland, Israel, Mexico, New Zealand, Spain, South Africa, South Korea, The Netherlands, and the United Kingdom. CBSS seeks a transactional lawyer to be the primary legal support for this international co-production and development business.

This position will be based in the UK or Europe, reporting to EVP, Legal Affairs based in the United States, and the candidate must be willing to work across multiple time zones.

Responsibilities will include the following:
• Advising Business Affairs regarding deal structure after consultation with local counsel;
• Drafting and negotiating term sheets, development agreements, co-production agreements, production services agreements, distribution agreements, rights agreements, writer/producer agreements, assignments and other related agreements;
• Reviewing and commenting on license agreements, inter-party agreements, and security agreements;
• Reviewing, revising and commenting on form production agreements used by our local production partners, including rights agreements, writer/producer agreements, cast agreements, director agreements, location agreements, clearance releases, agency package letters, and other related agreements;
• Liaising with other Paramount Global departments including Business Affairs, Global Content Distribution, Risk Management, Participations, Finance, and Tax;
• Providing general clearance advice and clearing production titles;
• Modeling financial implications of alternative proposals; and
• Managing and supervising local outside counsel.

Qualifications:
• Juris Doctorate (or regional equivalent), admission to state bar or corresponding organization, and strong academic credentials;
• 10+ years of experiences as a transactional attorney, including law firm experience and 6+ years of experience as an attorney in the entertainment industry;
• 3+ years of experience at a United States headquartered studio or entertainment company as the primary attorney handling local language projects intended for initial exhibition in non-US markets;
• Experience drafting development agreements, co-production agreements, production services agreements, license agreements, and distribution agreements for international productions;
• Ability to understand and explain international finance plans, complicated profit-sharing structures, and tax incentive and grant structures;
• Superb and efficient drafting and legal writing skills; excellent communication (written and verbal), negotiation, interpersonal and analytical skills; and an ability to work well under pressure and effectively manage competing priorities in a time-sensitive environment; and
• Good judgment; an ability to both work independently and support a team; a willingness to handle novel matters and projects outside of usual area of practice; and the ability to interact, work and communicate effectively with business affairs executives, creative executives and all other levels of management.
