The Job

The Senior Counsel will report to the Senior Vice President and Corporate Secretary. In this role, the successful candidate will provide corporate governance and entity management advice, will oversee the formation and dissolution of entities, and support efforts to integrate and rationalize the WBD portfolio of global entities. The role will also supervise the Warner Bros. Discovery corporate secretary team in the US (located in New York, Knoxville and Miami), the United Kingdom, and APAC, which is responsible for legal entity management for WBD's global business operations.

The Daily
• Advise on corporate law matters and legal entity management as well as corporate governance relating to WBD's business operations globally
• Draft and review intercompany and third-party agreements and legal documents including resolutions, organization documents, certificates, declarations, powers of attorney, and corporate filings
• Advise and assist tax, finance and other corporate functions on internal transactions such as corporate reorganizations and transfers of assets
• Manage a team of internal legal entity professionals who provide day-to-day corporate secretarial support to all businesses and functions at WBD globally, including through administration of an internal entity database, and oversight of entity management services performed by third parties
• Identify risk and develop best practices for entity management and corporate governance across WBD's global portfolio of companies
• Help to draft and advise on policies affecting the corporate legal department and address other matters as needed

The Essentials
• 5-8 years corporate experience at a law firm or related experience in a comparable in-house position.
• Juris Doctorate degree from an accredited law school required
• Must be, or be willing to become, a state bar member in NY, GA or MD and bar membership must be in good standing, or member of other US state bar and able to qualify as in-house counsel in state where hired

• Strong legal transactional skills, sound business judgment and experience with various corporate entity structures and general corporate law in the US
• Demonstrated ability to proactively identify, prioritize and resolve legal issues effectively, and to explain complex legal concepts and risks to, and collaborate with, executives and colleagues at all levels in the organization
• Must be able to research legal questions and communicate responses effectively to all levels of corporate staff
• Ability to problem solve in efficient, business-friendly, creative manner.
• Exceptional interpersonal and communication skills; must be able to write in a well-organized, concise and precise manner.
• Ability to build strong internal client relationships with personnel of all levels, effectively advise senior-level executives, and produce strong client and partner satisfaction through practical and strategic thinking.
• Must be agile, proactive, and highly motivated; must have positive, team-oriented attitude, excellent judgment, ability to handle high volume of work with minimal supervision and to assess risk, make decisions and prioritize multiple projects with competing deadlines.
• Must enjoy welcoming new business challenges and working in dynamic, fast-paced environment with great colleagues and world-class content and entertainment.

In compliance with local law, we are disclosing the compensation, or a range thereof, for roles that will be performed in New York City. Actual salaries will vary and may be above or below the range based on various factors including but not limited to location, experience, and performance. The range listed is just one component of Warner Bros. Discovery's total compensation package for employees. Pay Range: $183,470.00 - $340,730.00 salary per year. Other rewards may include annual bonuses, short- and long-term incentives, and program-specific awards. In addition, Warner Bros.
