DESCRIPTION:

We at ViacomCBS are seeking a real estate lawyer to join our in-house real estate team as Counsel! In this Counsel role, they will report to the Vice President/Associate General Counsel of Real Estate Legal and be based in New York, NY. The Counsel will work closely with the company real estate directors, as well as operations, finance and engineering personnel to negotiate and document various real estate transactions and provide counsel regarding diverse real estate issues. We at ViacomCBS believe the ideal candidate will be self-motivated, demonstrate critical thinking skills to solve problems and issues, and have an ability to develop good relationships with internal corporate clients and team members.

Essential Skills:
• Experience drafting, reviewing and negotiating commercial leases (representing both landlords and tenants in various jurisdictions, including New York and California), as well as lease-related documents, including subleases, assignments, amendments, renewals, surrender and termination agreements, SNDAs and estoppel certificates
• Involvement in drafting and negotiating construction documentation, including contractor and architect agreements, particularly working with AIA documents
• Understanding of sales and acquisitions within commercial properties, including reviewing title work and surveys, and preparing closing documents
• Experience providing real estate support for merger and acquisition transactions, including due diligence review, review of merger agreements and stock/asset purchase and sale agreements

QUALIFICATIONS:

Required:
• Minimum of 5 years of transactional real estate experience in a quality law firm or combination of law firm and in-house corporate setting
• Demonstrated ability to manage a high volume of projects and deadlines independently, while seeking supervision and guidance when necessary
• Excellent business judgment, superior attention to detail and keen ability to identify and anticipate issues
• Ability to remain abreast of current developments in commercial real estate law
• Proactive, resourceful and ''can do'' approach to recognizing needs and solving problems
• Work independently as well as part of a team as necessary
• J.D. from an accredited law school
• New York State bar membership in good standing or willingness and qualifications to become Registered In-House Counsel in New York State

Preferred:
• Experience in drafting and negotiating production and location agreements for film and television
• Experience in tower leasing
