As Vice President, US Corporate Tax, you will advise senior management on domestic and cross-border taxes for business related questions, including mergers and acquisitions (M&A), internal legal restructuring, and domestic tax law updates and trends. You will also be responsible for overseeing the full scope of UMG's tax compliance and coordinating audit responses in the US, including coordinating and optimizing outsourced compliance services.
You will work closely together with other departments, such as finance, treasury, legal and business affairs, and tax colleagues outside the US and with outside tax counsel.
This position will report to the US CFO North America based in Santa Monica and the Head of Tax based in the Netherlands.
This opportunity can be located in either Santa Monica or New York City - with periodic domestic and international travel to the extent necessary.
How You'll Create:
Oversee US Tax Compliance and Accounting team, and manages external tax compliance and advisory firms on all US tax matters
Advise on US tax matters related to Federal Corporate Income Tax, States and local Income Tax, Sales and Use Tax for business related questions (including M&A) raised by other departments (finance, treasury, Human Resources, Business Affairs, etc.) based in the US
Prepare internal memoranda and other documentation, as required, in connection with proposed transactions or operations
Liaise with and manage external law and accounting firms that provide assistance and advice on US specific matters on transactions and operations
Advise on international taxes (especially withholding tax on royalties, dividends, and interest) levied in the US
Manage Federal and States and Local tax audits with assistance of external advisor
Bring Your Vibe:
Minimum of 10 years of tax experience at a Big 4 accounting firm, ideally Corporate Tax Department, and/or major law firm.
Broad base of tax technical knowledge, including Federal Corporate Tax, International Tax, Mergers and Acquisitions, Transfer Pricing Policies, Multiple State and Local Income Tax, Property Tax and Sales and Use Tax. With thorough knowledge of tax matters relevant to US corporations' part of international holding companies
Strong communication skills, both in the context of executive presentations and in written and oral communications
Experience with compliance issues for domestic and global companies
Knowledge of IP-related Music, Entertainment, Gaming or Software Industry related tax issues is a plus
Solid understanding of finance and accounting matters
Ability to multi-task and work in a very fast-paced and team-oriented environment
Ability to propose and to implement practical solutions
Ability to communicate tax issues to non-tax stakeholders, enabling timely strategic decision making and using effective written and oral communication skills
A good knowledge of intellectual property law desired – preferably music contracts
Education:
Master's degree in Accounting/Tax or Law degree with Tax LLM
