Job Description
Sesame Workshop is looking for a Vice President, Legal and Business Affairs. We are seeking an experienced attorney to work in a variety of practice areas unique to a global nonprofit educational media organization including but not limited to: international content production and licensing, themed entertainment, live events and appearances transactions, digital distribution, philanthropy, social impact initiatives, corporate governance, strategic investments in limited partnerships/funds, managing legal and business affairs for Sesame Workshop's nonprofit subsidiary the Joan Ganz Cooney Center as it expands its offerings for tech companies, and setting up international subsidiaries, including establishing policies and procedures and creating applicable templates. The successful candidate will have the ability to self-start, proactively engage internal clients and counsel, and manage transactions to completion.

The Vice President, Legal and Business Affairs will report to the General Counsel.

RESPONSIBILITIES

Responsibilities may include:
• Structuring, drafting, reviewing, and negotiating various agreements and documents in the areas of content production and licensing, philanthropy, social impact, themed entertainment, live events and attractions – all primarily international, and digital distribution, technology, strategic investments, and corporate governance -- domestic and international.
• Advising internal clients on a wide range of business affairs, legal, and contractual matters.
• Managing professional staff.
• Managing outside and local counsel in connection with international offices.

REQUIRED EXPERIENCE
• JD degree.
• Admission to the Bar (Candidate must be in good standing, and if not admitted in New York, must be willing to register as in-house counsel in New York).
• 8-10+ years' experience including experience in one or more of the following areas:
• Transactional experience drafting, negotiating, and finalizing commercial contracts in relevant practice areas.
• Experience advising clients on day-to-day business affairs, legal and contractual issues.
• Experience with matters involving intellectual property rights and ancillary rights for media properties such as content production and licensing, product licensing, digital distribution, web sites and social media accounts.
• Experience reviewing, negotiating, and finalizing corporate agreements and documents in connection with strategic investments.
• Experience with grant agreements, cooperative agreements and collaboration agreements with funders and non-profit partners.
• Experience with transactions and collaborations to support the implementation of international mission-based projects.
• Proficiency in office technology such as Microsoft Office 365, eDocs, SharePoint is a plus.
