Job Description
Sesame Workshop seeks a Paralegal to join our legal and business affairs team. The Paralegal will report directly to the Deputy General Counsel and work under the supervision of Sesame Workshop attorneys. The Paralegal will have responsibility for contract drafting and document management. We're looking for an experienced, self-motivated person with first-rate communication skills and the ability to work independently as part of an in-house legal team. The ideal candidate will have strong drafting skills and demonstrated ability to usher a significant volume of contracts through to completion and execution.

Responsibilities:
• Draft contracts, amendments and renewals (using templates) and letters, authorizations and other legal documents
• Review, negotiate and revise third party contracts
• Contracts cover a broad variety of subject areas with an emphasis on independent contractor agreements, service agreements and license agreements
• Independent contractor and third-party agreements include contracts with consultants, vendors and service providers such as creative contributors, software developers, researchers and technology providers
• License agreements include print and e-book publishing, apps, consumer products and content distribution agreements
• Collect and process supporting documents from vendors and contractors such as W-9 forms, affidavits and certificates of incorporation
• Manage, maintain and update electronic contract management system for requesting contracts and monitoring workflow among stakeholders including legal, finance and the business units
• Manage, maintain and update library of templates, forms and clauses
• Work with outside counsel to facilitate state charity filings including handling all internal logistics and approvals
• Assist in maintaining corporate documents such as minute books and corporate records for affiliates

Qualifications:
• A bachelor's degree or equivalent experience
• Paralegal certification or comparable experience
• 5+ years relevant paralegal experience working in an in-house environment required
• Substantive experience drafting, reviewing and editing contracts in relevant subject areas
• Ability to multi-task, prioritize and work in a demanding, fast-paced environment
• Ability to communicate with business and operational units to provide guidance and to gather information
• Ability to communicate and negotiate with external parties
• Strong attention to detail and commitment to quality work product and service to clients
• Excellent organization and writing skills
• Experience working with and assessing electronic contract workflow systems like Nintex
• Experience working with electronic document management systems such as eDocs
• Proficiency in Microsoft Office Suite
• Notary Public
