Job Description

Universal Studio Group is looking for a Counsel who will have the opportunity to support unscripted projects produced by Universal Television Alternative Studio and advise on complex first-run licensing deals for Universal Television Alternative Studio, Universal Television and Universal Content Productions as part of a dual unscripted/licensing team role. We are seeking a candidate who will draft and negotiate complex development and co-financing agreements as well as advise production personnel and other groups within the NBCUniversal Law Department to provide timely and practical legal counsel during the development and production of our unscripted television content, including vetting concepts and analyzing rights, intellectual property issues and other legal matters. The person in this role will also manage the unscripted group's legal forms. As part of their licensing team responsibilities, the person will negotiate and draft license agreements with various third-party platforms, co-production agreements with other major studios and termination agreements with both streamers and broadcast networks. In addition, the person in this role will have the opportunity to support other legal teams in USG Legal Affairs through drafting, reviewing, negotiating, and interpreting writer/producer agreements, nonwriting executive producer agreements, director agreements, and other entertainment-related agreements.

Essential Responsibilities:
• Identify, analyze, and tee up practical, responsive solutions and advice on a production timetable on issues relating to projects in development and production, with a focus on alternative/reality entertainment productions.
• Provide legal support throughout pre-production, production, and post-production, including vetting content, activity outlines, scripts and series/challenge rules, and influencing the structure of production processes to address legal issues and risk.
• Negotiate, structure, draft, and interpret outbound license and co-production agreements.
• Work with the Legal Affairs team and colleagues in the Law Department on major projects with long-term business implications.
• Support other legal groups in the USG Legal Affairs team.
• Other matters at the direction of senior legal colleagues.

Qualifications
• JD degree from an accredited law school.
• The position requires 4 years of legal experience, which must include: (1) at least 1 year of entertainment law experience ; and (2) 2 years of corporate transactional law experience at a nationally recognized law firm or company.
• Entertainment law experience must include the following: (a) working in a ''show lawyer'' capacity on both scripted and unscripted television productions, including documentaries, for a major studio; (b) drafting television-related entertainment agreements, including writer/producer agreements and quitclaim/termination agreements; (c) working on long-form co-production agreements and license agreements for the sale of original content to major streamers; and (d) leading and managing the drafting of a major studio agreement form (e.g. television series license agreement, co-production agreement, producer agreement, or production services agreement form).
• Corporate transactional law experience must include the following: (a) representing public, global companies; (b) drafting and negotiating primary transaction agreements (e.g., asset purchase agreements); and (c) communicating and managing internal legal experts in order to prepare primary transaction agreements.
• Must be authorized to practice law in the State of California (Must be either (1) a member in good standing of the State Bar of California; or (2) MIP registered in-house counsel in California).

This role allows for telecommuting within commuting distance of the office location on a hybrid schedule (3 days in office, 2 days from home office) as determined by employer.

Salary range: $159,650 - $170,000
