Overview and Responsibilities

With the Director, Business and Legal Affairs (BALA), provide business and legal affairs support to the International content sales unit (VIS-IPS) of ViacomCBS Networks International (VCNI). Primary focus on drafting, negotiating, and analyzing program and format license agreements, and document management in connection with the worldwide licensing of VCNI's program library.

Responsibilities
• Draft and negotiate agreements, amendments, deal memos, notices, correspondence. Also legal documentation for third party and intercompany program licenses, format options and licenses, and program sales agency representation
• Provide comprehensive business affairs strategy and guidance. This includes advisement on deal interpretation, business practices, and negotiation to VIS/IPS Sales and Sales Operations teams regarding program/format licenses, rights, and other contract provisions
• Conduct rights analysis and summarize agreements
• Perform research on rights, media platforms, legal provisions, media entities, and territory-specific laws and requirements
• Initiate, coordinate, compile, track, and maintain various reports, related to the review and analysis of agreements. Includes rights, requirements, obligations, contract language variations, and deal status
• Collaborate and liaise with Sales, Sales Operations, Finance, Billing, Tax, IP and Litigation, Int'l & U.S. BALA, and VCNI channels. Talk to 3rd party broadcasters and media companies worldwide
• Devise and maintain all agreement, amendment, deal memo, and supplemental letter templates for linear and non-linear program/format licensing. Build and maintain tools and resources (variations and template language, tracking reports, guides, process docs)
• Coordinate and administer documents and data via document management (eDocs) and rights management (RMS) systems
• Coordinate day-to-day with Sales Operations department on the input and maintenance of program rights and tracking of all 3rd party licenses
• Provide business/legal support to VCNI BALA

Basic Qualifications
• Bachelor's Degree; JD preferred
• 4+ years drafting and negotiating agreements; or a JD and applicable drafting/negotiating experience
• Proficiency with Microsoft Office (primarily Word, Excel, Outlook), and Adobe Acrobat (PDF)

Additional Qualifications
• Experience with program licensing and working at a media company preferred
• Excellent analytical, drafting, communication, project management, and organizational skills
• Effective and dedicated client-support skills and experience
• Attention to detail, ability to handle and prioritize multiple responsibilities at a time
• Keen ability to understand and re-assess on a constant basis the day, week, and year's priorities. Communicate priorities and needs internally as well as externally
• Experience with rights management systems and/or document management systems a plus (eDocs, RMS)
• Ability to work in a fast paced environment across time zones across international media environments and cultures, and ability to communicate with multicultural client groups
• Proficiency in other languages a plus
