Job Description

Summary of Position

This position will provide legal guidance on securities law compliance and corporate governance. With respect to securities law, this role will be the legal process owner for ensuring compliance with securities laws and all other regulations related to operating as a public company. With respect to corporate governance, this position will be responsible for preparing all materials for board and shareholders meetings, board committee meetings and management of our corporate entities. M&A experience preferred but not required. The successful candidate will be an experienced, hands-on, highly motivated individual who functions with initiative, confidence, professionalism and expertise in a fast-paced and rapidly changing business environment.

Responsibilities
• Compliance with rules and regulations of the US Securities and Exchange Commission, including preparing annual and quarterly reports on Forms 10-K and 10-Q, Form 8-Ks, Section 16 filings (Forms 3, 4, and 5) and other SEC filings

• Compliance with NYSE rules and regulations (Canadian regulations a plus, but not required)

• Draft all proxy statement related materials, manage proxy solicitation and annual shareholders' meeting

• Provides legal support to the Corporate Secretary, including preparing Board and Committee meeting materials such as agendas, corporate governance related materials, corporate resolutions, and meeting minutes for Board of Directors and Committee meetings

• Provides legal support and guidance with respect to executive compensation, as well as equity plan administration and trading windows, and monitoring 10b5-1 plans

• Review, negotiate, and draft financing documents including indentures, credit agreements, and related documents

• Work closely with internal teams through all stages of strategic transactions and act as a key member of deal teams

• Support corporate governance, M&A and finance activities

• Prepare, update and manage corporate governance policies and charters

• Support for HR, tax and accounting and finance departments/activities.

• Provides legal guidance on external communications such as earnings releases, press releases, investor presentations and marketing materials, and Company websites.

• Provide legal support for the maintenance of Company subsidiaries

Qualifications & Skills
• A Juris Doctor degree

• 10 + years of experience, including within an in-house legal department

• Securities Law – experience with SEC and NYSE regulatory compliance, including drafting and preparing all documents required to be filed by public companies

• Familiarity with regulations and best practices for public companies

Compensation

$325,000 - $425,000
