DESCRIPTION:

Job Overview

This position has two components. First, as leading the planning, development, implementation and administration across primarily the legacy CBS business processes of the Sarbanes-Oxley 404 (SOX) program, including oversight of the company's internal control over financial reporting. Second, as a key participant on the ViacomCBS Strategic Risk Management Committee contributing to the development and implementation, in partnership with business leadership, of risk management practices that will enable ViacomCBS to make risk-effective decisions that create and sustain value.

Responsibilities:

Manage and provide the strategic direction for the ViacomCBS Compliance Functions with a focus on integrating and streamlining the legacy CBS and legacy Viacom SOX programs and controls

Monitor and evaluate changes in SEC and PCAOB rules and regulations, and determine enterprise wide impact, adjust scope and design and implement controls to ensure compliance

Develop Management's SOX Compliance Plan and communicate the plan to domestic and international stakeholders, executive management and the external auditors

Ensure the establishment of policies and procedures for the on-going maintenance and assessment of internal control over financial reporting

Drive the company's risk assessment in identifying financial reporting risks and determining appropriate controls to mitigate risks

Evaluate control effectiveness and deficiencies to determine risk impact, identify mitigating controls to reduce the company's overall risk impact, and oversee determination, implementation, and progress tracking of remediation efforts

Partner with business management to ensure inclusion in organizational/process change communication which will allow for an assessment of the change impact on controls prior to the change being implemented

Communicate program results and internal control environment changes, to Corporate and business senior management and external auditors, and participate in the creation of Audit Committee communications

Manage the company's alignment and coordination with external auditors in relation to controls testing, documentation of control deficiencies, and the related impact to the financial audit

Introduce efficiencies into the compliance process by leveraging automated tools - implement a GRC tool for program tracking, evaluate use of 'bots' for testing

Serve as a key member of the Strategic Risk Management Committee providing leadership, innovation, governance and management necessary to identify, evaluate mitigate and monitor the company's strategic and operational risk

Perform risk assessments by partnering with business leadership to understand their key risk concerns and mitigation approach

Assist businesses leadership in developing and implementing risk mitigation plans

Participate in the development/update of the strategic risk management report delivered to the Audit Committee summarizing the result of the 2020 risk assessment program

Decision Making/Accountability

The majority of the work is governed by Sarbanes Oxley and an Enterprise Risk Management Framework. Within the regulatory/risk framework issues arise that are substantially complex, varied and regularly requires the selection and application of technical and detailed guidelines. Independent judgment is required to identify, select, and apply the most appropriate methods as well as interpret precedent. The position regularly makes recommendations to management on areas of significance to the department and organization at large

This position is expected to operate very independently. Supervision received typically consists of feedback, coaching and advice

This role typically has 5 -10 direct reports. Supervisory requirements consist of managing a staff across multiple domestic time zones. Responsible for ensuring the team is executing against agreed plans with senior management and external audit. Monitoring test execution progress, reviewing results of test execution, reviewing adequacy of remediation plans in reducing risk and reporting results to management

This position requires self-initiated active participation in the Strategic Risk Management Committee, execution of risk assessments through partnership with business leadership and guidance in mitigations strategies, and content contribution summarizing results of risk assessments for incorporation into the Audit Committee SRM Report

QUALIFICATIONS:
• Fifteen or more years of audit experience within a public accounting, and/or internal compliance audit function
• Ten or more years of experience with internal controls evaluation, COSO, and SOX 404 requirements including all phases of planning, evaluation, documentation, testing and remediation
• Intimate business process and technical accounting knowledge across multiple media revenue streams
• Demonstrated proficiency of media and entertainment auditing control disciplines including and general knowledge of non-revenue related media and entertainment associated business processes
• Strong facilitation capabilities. Effective and persuasive communicator and presenter.
• Ability to think analytically; communicate complex issues, and develop control recommendations
• Excellent written and verbal communication skills with the ability to present control/risk analysis and recommendations with clarity and professionalism
• Ability to lead teams and motivate people
• Comfortable with meetings and leading discussions with senior staff and management
• Superior skills in planning, managing and controlling activities of a diverse team
• Customer focused and professional in work ethic and performance
• Demonstrated track record of integrity, effective communication, commitment to teamwork, innovation, and excellence

Education/Certifications
• Bachelor's Degree or global equivalent in Accounting or Finance with recognized accounting qualification
• Professional Certification is required: CPA or equivalent
