Simon & Schuster, Inc., a global publishing company, is seeking a transactional lawyer for a VP Counsel role.

Description: The position provides support to international publishing units, but this is primarily a transactional position. The new team member will focus on drafting, negotiating and reviewing agreements for our Sales and Operations groups, including distribution, digital product sales, manufacturing, warehouse services and miscellaneous facilities agreements. The position also entails addressing the day-to-day needs of the international publishing teams in the UK, Canada, India and Australia (with a primary focus on the UK) and assisting on digital-related initiatives. The position will counsel clients on various legal and commercial risks related to contractual arrangements, and media, intellectual property, privacy, technology and digital issues and will partner strategically with the operations, sales and publishing teams and act as a general advisor and consulting resource from the Legal Department.

Responsibilities include: Review, draft and negotiate a variety of contracts including digital/technology (SaaS and Information as Service agreements, digital sales agreements), master services agreements, co-promotion agreements, and marketing and vendor agreements; provide prompt advice and counsel to the sales, operations, corporate marketing and international publishing teams on a wide array of legal and business issues, including business risks, and contract interpretation, and other issues; advise and counsel clients on intellectual property matters (copyright and trademark); and support the larger legal and contracts team in addressing new or special projects, consistent with the evolving needs of the business.

Required Skills, Knowledge and Abilities: Excellent drafting and negotiating skills and the ability to structure agreements for novel business arrangements. Sound business judgment and creative problem-solving skills. Strong communication skills and the ability to work with different client groups to provide guidance and make strategic recommendations. Effectively prioritize, execute and respond to a wide variety of inquiries. Ability to work independently and seek guidance when necessary and work collegially across cross-functional teams. An understanding of data privacy laws and regulations or at least the willingness to learn is preferred. The new team member will have the opportunity to do pre-publication reviews. Prior experience with pre-publication review is a plus but is not required.

Qualifications: Excellent drafting and negotiating skills with a successful track record resolving issues. Sound business judgment and creative problem-solving skills. Strong verbal and written communication skills and the ability to work with different client groups to provide guidance and make strategic recommendations. Effectively prioritize, execute and respond to a wide variety of inquiries. Ability to shift gears quickly to respond to changing client needs and work collaboratively and collegially with clients at all levels of the organization.

8 -10+ years of relevant experience is required.

ADDITIONAL INFORMATION

The annual salary for this position is $200,000.00 - $220,000.00

The hiring salary range for this position applies to New York City, California, Colorado, Washington state, and most other geographies. Starting pay for the successful applicant depends on a variety of job-related factors, including but not limited to geographic location, market demands, experience, training, and education. The benefits available for this position include medical, dental, vision, 401(k) plan, life insurance coverage, disability benefits, tuition assistance program and PTO or, if applicable, as otherwise dictated by the appropriate Collective Bargaining Agreement.

Salary Details
Salary Range: $200,000 to $220,000 Per Year ($ USD)
