Job Description
As part of our department, you will:
• Manage a wide variety of commercial transactions at VCNI including:
- Negotiating and drafting complex, strategic streaming distribution agreements with a focus on hard bundle offerings. Overseeing other distribution deals which are executed locally.
- Negotiating and drafting ad tech agreements pertaining to the region and overseeing advertising agreements executed locally.
- Collaborate with the US domestic BALA team, as required on commercial agreements pertaining to the region.
- Negotiating and drafting other key operational and related commercial issues, including marketing, social, technology/digital, trademark licensing, intercompany arrangements, NDAs, letters of intent, term sheets and related work on M&A transactions (along with corporate and local teams).
• Rapidly identify and assess potential legal, compliance and commercial risks, which require legal analysis. Propose viable solutions to achieve business objectives while skillfully managing legal and practical business considerations.
• Assist in the preparation, implementation and administration of Paramount-wide legal policies, procedures and best practices across multiple international jurisdictions with regard to commercial transactions.
• Assist in the creation of templates and checklists for use across multiple jurisdictions.
• Maintain and foster effective relationships with corporate, HQ, divisional and cluster groups.
• Direct and supervise legal agreements which strengthen the company's overall position.
• Assist in maintaining oversight of external law firms for internal legal requests and ensure that monitory spend is aligned with the company's cost efficiency goals.
• Keep abreast of developments and trends in the legal industry and across relevant markets.
• Assist in the dissemination of best practices across the BALA function.
• Lead, mentor and develop team members. Actively contribute to team and group meetings.

That's why we want you to have:
Our ideal candidate should fit perfectly with our values, but apart from that, you have:
• Degree in law, and minimum of 7-12 years of experience in a large law firm and/or media company. Legal qualifications in more than one jurisdiction is preferred but not required.
• Experience in transactions over multiple jurisdictions with a strong working knowledge of broadcast regulations and practices in Europe.
• Current Bar/Law Society membership required.
• Excellent communication. Must be fluent in English (written and verbal). Additional European languages are preferred but not required.
• Wide experience in TV and streaming distribution deals (including app agreements), ad tech deals, general advertising deals, privacy, social, technology agreements, music rights and collecting societies.

• Have detailed and comprehensive knowledge of complex multi territory transactions and business strategies.
• A highly sophisticated ability to engage in legal research, analysis and reasoning.
• A high level of experience in drafting, negotiation managing large transactions.
• The ability to present complex legal concepts in simple and clear language for effective communication to all levels of the business.
• The ability to proactively resolve and escalate legal risks and impediments by providing clear, tailored and concise advice and action plans.
• Proactive ability to identify, assess and communicate risks and proposing viable and relevant solutions for the business to consider.
• Sound business judgment, social intelligence and flexibility/adaptability to lead multifaceted matters which may have conflicting deadlines and incomplete facts.
• Proven ability to identify, prioritize and resolve legal issues efficiently.
• Work collaboratively with cross functional teams to achieve business objectives.
• Be an analytical and independent problem solver acting with integrity.
• Ability to work flexible and/or long hours when necessary and to travel internationally.
