NPR is seeking an experienced nonprofit governance attorney to work as part of our talented in-house legal team, leading a team of experienced professionals in support of NPR's Board of Directors, advising on corporate governance matters for NPR and its subsidiaries, compliance with regulatory requirements as a nonprofit organization and membership corporation, advising on laws, regulations, policies, and legislative and regulatory initiatives that impact NPR and its Member Stations, and advising on complex commercial arrangements. This role will report to the Chief Legal Officer and serve as Assistant Secretary of NPR, focused on corporate governance and regulatory matters, with exposure to generalist matters as needed.

RESPONSIBILITIES
• Leads a team advising leaders, staff, directors and trustees in support of an engaged Board of Directors, Board of Trustees, and complex governance environment.
• Establishes strong working relationships with colleagues in the Office of General Counsel, executives, directors and trustees.
• Provides advice on corporate governance, including ethics, conflicts of interest, and financial reporting and operation of the Board of a non-profit/exempt organization.
• Maintains and updates corporate governance documents for NPR and its subsidiaries.
• Manages the coordination and planning of meetings of the Board of Directors and its committees.
• Drafts agendas, minutes, memoranda, resolutions, correspondence, policies and procedures, certifications, and reports for boards and various board committees, and other related documents.
• Works with and provides advice to senior management, directors and trustees in establishing and implementing policies and procedures, including compliance and other legal developments.
• Contributes to the development and implementation of compliance programs, and associated training. Develops and implements director and trustee orientation programs.
• Drafts, reviews, and negotiates a variety of contracts.
• Liaises with and supervises outside counsel.
• Maintains an ongoing and current working knowledge of nonprofit governance laws and regulations.
• Oversees NPR's Board elections process
• Provides oversight for legal advice concerning FCC, IRS and grant compliance, grant and donor agreements, and laws, regulations, policies, and legislative and regulatory initiatives that impact NPR and its Member stations.
• Supervises 2-3 direct reports, including preparing their regular performance reviews, and making effective recommendations regarding any hiring, promotion, and discipline for these positions.
• Cultivates and promotes diversity, equity, and inclusion in the workplace.
• Cultivates and supports an inclusive and equitable workplace culture.

QUALIFICATIONS

EDUCATION: Bachelor's degree and J.D. required.

REQUIRED SKILLS
• At least eight to ten years of relevant experience in a law firm, in-house legal team and/or government agency, with in-house experience in a nonprofit environment strongly preferred.
• Licensed to practice in at least one jurisdiction and eligible for admission in the District of Columbia.
• Extensive knowledge of law and regulation of corporate governance in a nonprofit context.
• Demonstrated success in counseling in a multi-division or matrixed business setting.
• Project management expertise.
• Ability to quickly establish credibility with management as an effective resource and problem-solver; ability to work well in a team environment.
• Considerable ability to exercise independent judgment and make analyses and recommendations on difficult and sensitive matters.
• Exceptional communication, influencing, mediation, facilitation and presentation skills, including strong negotiation and dispute resolution skills, and exceptional writing skills.
• Experience in negotiation of complex and sophisticated contracts, including ability to assess and articulate appropriate risk/reward analysis.
