Responsibilities

The Associate Counsel, Business & Legal Affairs is part of a team responsible for providing legal support to Universal Pictures Home Entertainment's (UPHE) global physical (DVD/BD) distribution business and to NBCUniversal Global Distribution's television and new media distribution business. This will include working with UPHE's distribution partnerships, operations, licensing, finance, marketing, creative services, and publicity teams, and with Global Distribution's sales, digital, marketing, and administrative teams. This global and client-facing role will provide the Associate Counsel with broad experience and great variety of work.

Key Responsibilities include:
• Advise on physical and digital promotional, marketing, and publicity initiatives and draft and negotiate related agreements, releases and terms of use supporting social media/influencer campaigns, live event activations, contests, and sweepstakes.
• Draft and negotiate contracts relating to the licensing of film and television content for television and ''digital'/''new media'' customers worldwide in various media (including free, basic and pay television, SVOD, PPV/VOD, EST, and other media) and physical (DVD/BD) licensees.
• Advise and coordinate with sales executives, technology, compliance and litigation experts and administrative personnel to identify and resolve business and legal issues (including issues relating to contract interpretation) and provide ongoing counsel, advice, and support.
• Work with Studio Distribution Services (SDS), Universal's joint venture company with Warner Bros., with respect to physical distribution of Universal owned/controlled content, as needed.
• Coordinate with relevant NBCU teams to manage FTC, COPPA, data privacy and other compliance matters, claims, and consumer complaints.
• Rights research; assist with creation/revision of departmental templates, forms, manage other projects as assigned.

Qualifications/Requirements
Basic Qualifications
• J.D. required.
• California state bar licensure.
• Minimum 3 years of experience at an entertainment law firm or servicing marketing/advertising clients at a major media company.
• Strong legal research and drafting skills.
• Strong familiarity with entertainment legal agreements.

Additional Job Requirements:
• Must be willing to work in Universal City, California.
• Must have unrestricted work authorization to work in the United States.
• Must submit an attestation disclosing your COVID-19 vaccination status and, if partially or fully vaccinated, submitting your vaccination record no later than 7 days following commencement of employment.
