Job Description

The Senior Counsel, Endeavor Audio position will function as legal and business affairs counsel, providing support and advice on various media transactions, with an initial focus on media partnerships, including podcasting, television, film, and digital media; as well as partnerships with media companies and consumer product companies. You will serve as a primary lawyer responsible for counseling the business and drafting commercial agreements. You will work directly with the business, serving as lead counsel on strategic rights acquisition/licensing and production deals, providing day-to-day advice, resolving issues that arise in existing commercial relationships, and handling all production related-matters.

Areas of Responsibility:
• Structure, draft, and negotiate complex distribution, production, licensing, marketing, partnership, and other commercial agreements, and providing ongoing legal counsel across a wide range of areas, including intellectual property, television development and production, and digital media (including podcast).
• Provide ongoing legal analysis and advice to internal stakeholders in connection with complex, long-term domestic and international television and digital media agreements (including with corporate and entertainment/ media partners)
• Negotiate, review and draft a wide variety of commercial agreements, including, without limitation, partnership agreements, consulting/independent contractor agreements, nondisclosure agreements, advisory agreements, production agreements, and joint venture agreements.
• Negotiate, structure and draft various partnership, production, and development agreements (e.g., television and digital media rights acquisition/licensing as well as development and production for podcast and television ( both scripted and non-scripted) projects)
• Assist internal stakeholders in analysis of existing agreements, issue spotting, new business development, negotiation strategy, contractual compliance, and other legal and business affairs matters
• Provide timely and accurate advice on legal matters to internal stakeholders, including advising on risks and liabilities associated with potential transactions, existing contracts and policy documents.
• Manage contract process and provide regular status reports to internal team members.

Requirements:
• 6 plus years experience at a media company, law firm, and/or entertainment studio
• Experience working on transactions involving podcast, entertainment, and new media.
• Experience with podcasting and general commercial agreements preferred
• Experience in joint ventures, commercial partnerships, and joint ventures in the entertainment, sports and media industries.
• Experience drafting and negotiating content acquisition and distribution agreements
• Experience with the evolving media landscape, including distribution trends and business models
• Experience in development, finance, production and distribution of media properties preferred.
